Program Terms
This Agreement contains the terms and conditions pertaining to your participation as an Affiliate Member of LinkCounter.com.
In this Agreement, "we" or "our" refers to LinkCounter.com, part of the Net3Media.com. network of web sites, and "you" refers to a "Affiliate Member." We will hereafter use "you" and "Affiliate" interchangeably.

How to Enroll in the LinkCounter.com Affiliate Program:
Complete the online application located on our web site. We will automatically accept you into our program. However, we reserve the right to reject any application at anytime and for whatever reason we deem necessary. Possible reasons for rejection include, but are not limited to, sites we find to contain violent, discriminatory, or illegal content. If your site is rejected, you may reapply at any time. Once again, we will verify that your site is in compliance with our community standards.

Employees and members of immediate families of employees of Net3Media.com. or its subsidiaries are not eligible to participate in this affiliate program, nor be employed by or receive any compensation to assist an affiliate site outside the normal scope of their employment.

Links on Your Web Site
You will provide a link to our web site through an approved LinkCounter.com Affiliate Link. This link will enable visitors to join the LinkCounter.com web site for the following terms: Trial, 1-month, and 3-month terms. These term lengths may change and can be changed at our discretion. Anyone clicking on a link to LinkCounter.com must "clearly" understand that doing so will take them to the LinkCounter.com web site. In simpler terms, we DO NOT ALLOW blinds clicks to the LinkCounter.com web site. Anyone found doing so will be expelled from the Affiliate program and all monies will be forfeited.

We will provide you with technical specifications describing how to include the links on your web site. We will also provide the graphics needed in order to link to us. You may not represent LinkCounter.com, or use its trademarks, logos or other branding in any manner other than providing approved links.

Sales and Tracking
We will be responsible for signups placed by customers who follow links from your site to LinkCounter.com.  We will track all sales through persistent cookie technology. Each LinkCounter Affiliate Link is issued a unique identifying URL that is associated with your site. You are responsible to ensure your links are properly formatted and working.

Payment/Commission
An Affiliate will receive the following compensation for referring a sale to LinkCounter.com
1: Trial Accounts: $0
2: One-Month Accounts: $1
3: Three-Month Accounts: $3
4: From time to time we may offer special promotions and/or sale prices. These special promotion/sale prices may/will have a different payout value than the standard levels. Affiliates should check the site regularly for these changes.

To generate a referral payment, the customer must follow the link (in approved format) from your site to LinkCounter.com and purchase a subscription using our methods for subscribing. We do not pay referral payments on renewing subscriptions.

Payment Schedule
You will earn referral payments based on subscription sales of the LinkCounter.com link tracking service which were referred through your web site. Accounts with a minimum of $50 will have payments made each month. We will send a check for referral payments earned on subscriptions/sales that were paid for during the month approximately 30 days following the end of each calendar month.

Policies and Pricing
Customers who buy subscriptions through one of our partners are considered LinkCounter.com customers. Revenue will only be shared based on qualified customers. Qualified customers are all subscribers who have been billed and have not cancelled their subscriptions during the 30-day subscription period. Accordingly, all LinkCounter.com rules, policies, and procedures will apply to those customers. We have the right to change our subscription/sale prices or policies at any time. Do not include price information in your link to LinkCounter.com. We cannot guarantee a certain price for subscriptions.

Identifying Yourself as a LinkCounter.com Affiliate
We will provide images and other linking options to put on your site and that identifies you as a partner. You will need to put this on your site and make sure that it works. Only images we provide may be used to refer customers to our web site. Members may submit artwork for consideration to use. However, any such artwork that is approved becomes the property of LinkCounter.com and can/may be used by all Affiliate Members.

Limited License
You have a nonexclusive, limited, revocable right to use our icon and other like images only for the purpose of identifying your site as an Affiliate of LinkCounter.com and to generate subscription sales. You may not modify any of our images. We reserve all rights for the icon, our trade names and trademarks. We may revoke your license at any time by giving you written notice.

Relationship of Parties
Nothing in this Agreement creates a partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties.

Limitation of Liability
We are not liable for indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement or the Program.

Disclaimers
We cannot guarantee that our site will be uninterrupted or error-free, and we will not be liable for any consequences arising from any interruptions or errors.

Terms and Conditions
The term of this Agreement will take effect upon our acceptance of your Affiliate application and will end when terminated by either party. Either party may terminate this Agreement at any time, for any reason. We may choose to terminate this Agreement if we determine your site content is inappropriate, you have breached any conditions of this Agreement, or if you are sending "spam" (mass, unsolicited e-mail messages) to customers. You are only eligible to earn referral payments on subscriptions purchased during the term of the Agreement. Payments earned through the date of termination will remain payable only if the subscription is not canceled. We may withhold your final payment for a reasonable time to ensure that the correct amount is paid. Upon one-week's notice, LinkCounter.com may change, suspend or discontinue any aspect of this Agreement or the Serviceluding the availability of any Service feature, database, or other content. We also reserve the right to modify any portion of this Agreement.

IF ANY PORTION OF THIS AGREEMENT OR ANY FUTURE MODIFICATIONS TO THIS AGREEMENT ARE UNACCEPTABLE TO THE AFFILIATE, OR CAUSE THE AFFILIATE TO NO LONGER BE IN COMPLIANCE WITH THE AFFILIATE AGREEMENT, THE AFFILIATE OR LINKCOUNTER.COM MAY CANCEL THE AGREEMENT. AN AFFILIATE'S CONTINUED USE OF THE SERVICE CONSTITUTES A BINDING ACCEPTANCE BY THE AFFILIATE.

Miscellaneous
This Affiliate Agreement has been made in and shall be construed and enforced in accordance with Ohio law. Any action to enforce this agreement shall be brought in the federal or state courts located in Younstown, Ohio.
